IVS Group S.A. - Acquisizione di Time Vending S.r.l. e utilizzo di azioni proprie.
IVS Group informa di aver completato l'acquisizione della partecipazione del 50% di Time Vending S.r.l. di proprietà di Chef Express S.p.A. (Gruppo Cremonini), di cui IVS Italia S.p.A. deteneva già il 50%, arrivando così al 100%.
Il valore dell'operazione, inclusivo della posizione finanziaria netta positiva di Time Vending, è pari a Euro 7,385 milioni. Al contempo, Chef Express reinvestirà i proventi della cessione acquistando n. 1.309.397 azioni proprie di IVS Group (corrispondenti al 1,4% circa del capitale di IVS Group), ad un prezzo di Euro 5,64 per azione.
La joint venture tra IVS e Chef Express (Gruppo Cremonini) risale al 2009 e questa operazione rafforza le basi per maggiori e più evolute forme di collaborazione tra le due società, esempi di eccellenza nel settore della distribuzione food & beverage e della ristorazione in Italia e in Europa.
IVS Group S.A. è il leader italiano e secondo operatore in Europa nella gestione di distributori automatici e semiautomatici per la somministrazione di bevande calde, fredde e snack (vending). L'attività core del vending si svolge principalmente in Italia (83% circa del fatturato), in Francia, Germania, Polonia, Portogallo, Spagna e Svizzera, con circa 286.400 distributori automatici e semiautomatici; il gruppo ha una rete di 129 filiali e oltre 4.150 collaboratori. IVS Group serve più di 15.000 aziende ed enti, con oltre 825 milioni di erogazioni nel 2022.
Chef Express S.p.A. è la società che gestisce tutte le attività di ristorazione del Gruppo Cremonini, con oltre il 54% dei ricavi derivante dalle attività in concessione (stazioni, aeroporti e autostrade in Italia, e a bordo treno all'estero). Chef Express è leader in Italia nel mercato dei buffet di stazione, con punti vendita in 54 scali ferroviari, è presente nel settore della ristorazione aeroportuale in 14 aeroporti italiani, e gestisce 57 aree di ristoro sulla rete autostradale italiana. Nel mercato della ristorazione a bordo treno Chef Express è uno dei principali operatori in Europa con oltre 120 treni serviti quotidianamente in 5 Paesi Europei. Nella ristorazione commerciale gestisce direttamente le catene di Roadhouse Restaurant, Calavera e Billy Tacos e all'estero la catena anglosassone Bagel Factory.

IVS Group S.A. - Acquisition of Time Vending S.r.l. and use of treasury shares
IVS Group informs that has acquired the 50% interest in Time Vending S.r.l. owned by Chef Express S.p.A. (Cremonini Group), of which IVS Italia S.p.A. already owned 50%, and so reaching 100%.
The value of the transaction, including Time Vending positive net financial position, is equal to Euro 7,385 million. At the same time, Chef Express will reinvest the sale proceeds by acquiring n. 1,309,397 IVS Group treasury shares (corresponding to around 1.4% of IVS Group share capital), at a price equal to Euro 5.64 per share.
The joint venture between IVS and Chef Express (Cremonini Group) dates back to 2009 and this transaction strengthens the base for further and more evolute forms of collaboration between the two companies, examples of excellence in the food & beverage distribution and catering sectors, in Italy and Europe.
