EXPLANATORY NOTE

AAON, Inc. a Nevada corporation (the "Registrant"), previously filed the following registration statements on Form S-8 (collectively, the "Prior Registration Statements") with the Securities and Exchange Commission ("Commission"): (i) Registration No. 333-212863 on August 3, 2016 with respect to 5,759,553 shares (3,839,702 shares originally, as adjusted for the stock split referenced below) of the Registrant's common stock, par value $0.004 per share (the "Common Stock"), issuable under the AAON, Inc. 2016 Long-Term Incentive Plan (as amended, the "2016 Plan"); (ii) Registration No. 333-226512 on August 2, 2018 with respect to 3,825,447 shares (2,520,298 shares originally, as adjusted for the stock split referenced below) of Common Stock issuable under the 2016 Plan; and (iii) Registration No. 333-241538 on August 6, 2020 with respect to 3,750,000 shares (2,500,000 shares originally, as adjusted for the stock split referenced below) of Common Stock issuable under the 2016 Plan.

Following the above-referenced Registration Statements, the Registrant declared a 3-for-2 stock split (in the form of a 50% stock dividend) effective on August 16, 2023, thereby resulting in an increase of the number of shares registered under the Prior Registration Statements.

On May 21, 2024 (the "Approval Date"), the Registrant's stockholders approved the AAON, Inc. 2024 Long-Term Incentive Plan (the "2024 Plan"). In connection with such adoption, no further awards will be made under the 2016 Plan. Pursuant to the terms of the 2024 Plan, (i) any awards outstanding on the Approval Date under the 2016 Plan that are forfeited, expire or are canceled on or after the Approval Date, and (ii) any shares subject to awards relating to Common Stock under the 2016 Plan that, on or after the Approval Date, are settled in cash (such shares, collectively, the "Rollover Shares"), may become eligible for issuance under the 2024 Plan in accordance with the terms thereof. On the Approval Date, a total of 3,743,467 shares of Common Stock were subject to awards then outstanding under the 2016 Plan.

The Registrant is filing this Post-Effective Amendment No. 1 to the Prior Registration Statements on Form S-8 pursuant to the Commission's Compliance and Disclosure Interpretation Question 126.43 to amend the Prior Registration Statements to register the issuance of Rollover Shares under the 2024 Plan. For the avoidance of doubt, the Registrant is not registering any additional shares of Common Stock that were not previously approved by the Registrant's stockholders as of the Approval Date. The Company filed a new registration statement on Form S-8 on May 21, 2024, File No. 333-279594, to register an additional 2,654,066 shares of Common Stock for issuance under the 2024 Plan, which was approved by the Company's stockholders on the Approval Date.

Nevada law provides the Registrant with the power to indemnify its directors and officers. Either the director or officer must have conducted himself/herself in good faith and in a manner which he or she reasonably believed to be in, or not opposed to, the Registrant's best interests; a presumption that he or she acted in good faith, on an informed basis and with a view to the interests of the corporation must not have been rebutted; or the acts must not have constituted a breach of a fiduciary duty of such officer or director involving intentional misconduct, fraud or a knowing violation of law. In a criminal action not by the Registrant or in its right, the director, officer, employee or agent must not have had reasonable cause to believe his/her conduct was unlawful. The Registrant's Articles of Incorporation, as amended, and the Registrant's Amended and Restated Bylaws each provide that the Registrant shall indemnify its directors and officers to the fullest extent permitted by Nevada law. Further, the Registrant's Articles of Incorporation, as amended, provide that the Registrant may, by specific action of its Board of Directors, indemnify any or all other persons allowed to be indemnified under Nevada law. The Registrant's Articles of Incorporation, as amended, further provide that no director shall be personally liable to the Registrant or its stockholders for damages for breach of fiduciary duty as a director or officer, except for liability for (a) acts of omissions which involve intentional misconduct, fraud or a knowing violation of law, or (b) the payment of distributions in violation of Section 78.300 of the Nevada Revised Statutes. Moreover, the provisions would apply to claims against a director for violations of certain laws, including federal securities laws. In addition, the Registrant may enter into indemnification agreements with its directors and officers. These provisions and agreements may have the practical effect in certain cases of eliminating the ability of stockholders to collect monetary damages from directors and officers.

The Company maintains insurance policies that indemnify its directors and officers against various liabilities arising under the Securities Act and the Securities Exchange Act of 1934, as amended, that might be incurred by any director or officer in his/her capacity as such. The Company pays the entire premiums of these policies.
